01. Agreement Overview
These Terms of Service ("Terms") govern the business relationship between JDW Factory Manufacturing Co., Ltd. ("JDW Factory," "we," "us," or "our") and any business entity or professional ("Client," "you," or "your") engaging our manufacturing services. By placing an order or entering into any agreement with JDW Factory, you acknowledge that you have read, understood, and agree to be bound by these Terms.

02. Order Process & Manufacturing
2.1 Quotation & Specifications
All manufacturing orders begin with a formal quotation process. Clients must provide detailed specifications including dimensions, wood species, finish requirements, and quantity. Quotations are valid for 30 days unless otherwise specified. Final pricing may be subject to raw material cost fluctuations.
2.2 Minimum Order Quantities (MOQ)
Standard products require a minimum order of 5,000 pieces. Custom specifications may require higher MOQs depending on tooling and setup requirements. Sample orders (under 100 pieces) are available at premium pricing for evaluation purposes.
2.3 Production Timeline
Standard lead times range from 15-30 days depending on order complexity and current production schedule. Rush orders may be accommodated with additional charges. Production begins only after receipt of deposit payment and approved specifications.

04. Quality Assurance & Warranties
4.1 Quality Standards
All products manufactured by JDW Factory meet or exceed industry standards for wooden handles. We maintain ISO 9001 quality management systems and FSC Chain of Custody certification. Pre-shipment inspection reports are available upon request.
4.2 Defect Policy
We guarantee our products against manufacturing defects for a period of 90 days from shipment date. Defect claims must be reported within 10 days of receipt with photographic evidence. Replacement or credit will be provided for verified defects exceeding 2% of total quantity.
Natural Wood Disclaimer
Wood is a natural material subject to variations in grain, color, and density. Minor variations are considered normal and do not constitute defects. Seasonal movement and dimensional changes are inherent characteristics of wood products.
05. Shipping & Risk Transfer
5.1 Delivery Terms
Standard delivery terms are FOB Qingdao Port, China. Alternative arrangements including CIF, DDP may be negotiated. Shipping costs and insurance are client's responsibility unless otherwise specified in the purchase agreement.
5.2 Risk and Title Transfer
Risk of loss and title transfer to client upon delivery to the carrier at our designated shipping point. JDW Factory is not responsible for delays, damage, or loss occurring during transit unless we have assumed responsibility under specific delivery terms.
06. Intellectual Property & Confidentiality
6.1 Custom Designs
Clients retain ownership of proprietary designs and specifications provided to JDW Factory. We agree not to manufacture identical products for competitors without written consent. Standard catalog items remain available to all clients.
6.2 Confidentiality
Both parties agree to maintain confidentiality of proprietary information, pricing, and business terms. This obligation survives termination of business relationship for a period of 5 years.
07. Limitation of Liability
JDW Factory's liability for any claim arising from or related to our products or services shall not exceed the purchase price of the specific products giving rise to the claim. We shall not be liable for indirect, incidental, special, or consequential damages including but not limited to lost profits, business interruption, or loss of use.
Force majeure events including but not limited to natural disasters, government actions, labor disputes, or material shortages shall excuse performance delays without penalty to either party.
08. Governing Law & Dispute Resolution
8.1 Governing Law
These Terms and all related agreements shall be governed by the laws of the People's Republic of China. Any disputes shall be resolved through arbitration in accordance with the China International Economic and Trade Arbitration Commission (CIETAC) rules.
8.2 Amendment
These Terms may be updated periodically. Significant changes will be communicated to active clients with 30 days advance notice. Continued business relationship constitutes acceptance of updated terms.
